Terms of Service
1. Agreement to these Terms
These Terms of Service (“Terms”) are an agreement between you and Ablaze.Digital Inc., a corporation based in Calgary, Alberta, Canada (“Ablaze.Digital”, “we”, “us”). They apply when you use ablaze.digital and its language versions (the “Site”), buy a plan or service online, or use the client portal. If you use the Site or buy on behalf of an organization, you confirm you are authorized to accept these Terms for it. By using the Site or completing a purchase you accept these Terms and acknowledge our Privacy Policy. If you do not agree, please do not use the Site.
Professional services are also governed by our Master Services Agreement (“MSA”) and any Statement of Work (“SOW”). If these Terms conflict with a signed SOW or the MSA, the SOW and then the MSA prevail for that engagement.
2. Our services
We provide AI solutions, business management and integration, marketing and SEO, and media and content services, as described on the Site and in each plan. Plan descriptions summarize what is included; the detailed scope, deliverables and timelines for your engagement are confirmed during onboarding and, where applicable, in an SOW. We may improve or change our service offerings over time; changes to a plan you have already bought take effect only as described in section 3.
3. Plans, subscriptions and automatic renewal
- Monthly plans (currently Spark, Ignite, Flare and Ablaze) are subscriptions billed in advance each month through our payment processor, Stripe.
- Automatic renewal. Your subscription renews automatically every month at the then-current price and your payment method is charged on each renewal date until you cancel. The price, billing frequency and renewal terms are shown before you confirm your purchase, and you will receive a confirmation from Stripe.
- Price changes. We will give you at least 30 days’ notice by email before a price change applies to your subscription, and you may cancel before it takes effect.
- Enterprise (Inferno) and custom work are sold under an SOW, with fees and terms set out there.
4. Prices, taxes and payment
Prices on the Site are in U.S. dollars unless stated otherwise and exclude applicable taxes, which are added at checkout or on your invoice. Payments are processed by Stripe; we do not receive or store your full card number. One-time projects are billed by milestone as set out in the SOW, and invoices are payable within the period stated on them. If a payment fails or is overdue, we will notify you and may pause work on the affected services until it is resolved, as permitted by the MSA and applicable law.
5. Cancellation, exchanges and refunds
- How to cancel: email [email protected] with the subject “Cancel subscription”, or send a cancellation message through the client portal. We will confirm cancellation in writing.
- When it takes effect: cancellation stops future renewals and takes effect at the end of the billing month you have already paid for, unless your SOW says otherwise. You keep access to the services for that month.
- Exchanges and refunds: you may exchange a plan, add-on or service within 14 days of purchase, and request a refund within the first week (7 days) of your initial purchase, less the value of work completed and a 3% administrative fee, as described in our Exchanges & Refunds Policy.
6. Client portal and accounts
Clients receive access to the Ablaze.Digital client portal. Keep your sign-in details confidential, use a strong password, and tell us promptly at [email protected] if you suspect unauthorized access. You are responsible for activity under your account that you authorize. We may require password resets or end sessions to protect accounts.
7. Acceptable use
You agree not to:
- use the Site or services for anything unlawful, fraudulent, deceptive or harmful;
- submit content that infringes others’ rights or that you have no right to share;
- attempt to gain unauthorized access to, probe, scan or disrupt the Site, the portal or our systems;
- use automated means to submit forms or scrape the Site in a way that burdens it (reading and indexing by search engines and AI assistants in line with our robots.txt is welcome); or
- ask us to create content or campaigns that are unlawful, misleading, or violate advertising, anti-spam or privacy laws.
8. Intellectual property
The Site, including its text, design, graphics, logos, video and code, is owned by Ablaze.Digital or its licensors and protected by copyright, trademark and other laws. You may view and share links to the Site for personal or internal business purposes, but may not copy, modify or republish its content without our written permission. “Ablaze.Digital”, “Ignite Me”, “Inferno” and our logo are our trademarks. Ownership of deliverables we create for you is governed by the MSA: subject to full payment, deliverables made exclusively for you are assigned to you, excluding our background tools and third-party components.
9. AI-assisted services and outputs
Some of our services use or build artificial-intelligence tools. AI outputs can be inaccurate, incomplete or similar to content generated for others. We review AI-assisted deliverables before delivery, but you are responsible for reviewing outputs before you publish or rely on them, especially for legal, medical, financial or other high-stakes decisions. We do not use your confidential information to train third-party AI models without your agreement, and we configure AI providers accordingly where the provider allows. Details for each AI engagement are set out in the MSA and SOW.
10. Third-party services and links
The Site links to and relies on third-party services such as Stripe (payments) and Cloudflare (hosting and security). Their terms and privacy policies apply to your use of them. We are not responsible for third-party websites we link to.
11. Disclaimers
Information on the Site is provided for general information and may change. Except as expressly stated in these Terms, the MSA or an SOW, and to the extent permitted by law, the Site is provided “as is” and “as available”. Marketing and search results depend on factors outside our control — including search-engine and platform algorithms, competition and market conditions — so we do not guarantee specific rankings, traffic, leads or revenue unless an SOW expressly says so.
12. Limitation of liability
To the extent permitted by law, Ablaze.Digital is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from the Site or services. Our total liability for any claim relating to the Site or an online plan is limited to the amount you paid us for the affected service in the 12 months before the claim. For professional services under an SOW, the liability terms of the MSA apply. These limits do not apply to liability that cannot be limited by law, such as for fraud, gross negligence or intentional misconduct.
13. Indemnity
If you use the Site or services for business purposes, you agree to indemnify Ablaze.Digital against third-party claims arising from content or materials you provide, or from your breach of these Terms or the law, as further set out in the MSA.
14. Suspension and termination
We may suspend or restrict access to the Site or portal if needed to protect its security or integrity, or if you materially breach these Terms, and we will tell you why unless the law or security needs prevent it. Paid engagements may be terminated as set out in section 5 and the MSA. Sections that by their nature should survive termination (including intellectual property, limitation of liability and governing law) will survive.
15. Governing law and disputes
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. Subject to section 16, the courts located in Calgary, Alberta have exclusive jurisdiction. Before starting any proceeding, each party agrees to try in good faith to resolve the dispute by negotiation, and then by mediation, as described in the MSA.
16. Consumers
Our services are designed for businesses. If you buy as a consumer, nothing in these Terms excludes or limits rights or remedies you have under the consumer-protection laws of your place of residence that cannot be waived by contract — including, for residents of Québec, the Consumer Protection Act, and for residents of the European Union or the United Kingdom, mandatory consumer rights and the right to bring proceedings in your local courts. Where such laws apply, the governing-law and jurisdiction clauses above do not deprive you of their protection.
17. General
- Changes. We may update these Terms. We will post the new version with a new effective date and, for material changes affecting existing subscriptions, give at least 30 days’ notice by email. Changes do not apply retroactively.
- Entire agreement. These Terms, together with the Privacy Policy, the Exchanges & Refunds Policy and, where applicable, the MSA and SOW, are the entire agreement about their subject matter.
- Severability and waiver. If a provision is unenforceable, the rest remains in effect. Not enforcing a right is not a waiver of it.
- Assignment. You may not assign these Terms without our consent; we may assign them to an affiliate or successor.
- Language. These Terms are published in English and in French, and both versions have equal standing. Other translations of the Site are for convenience.
